Public Offer (Terms of Use)

This document is a public offer (“Offer”) by the operator of Agent Ref (“we”, “us”, “our”) to enter into an agreement on the terms below with any person who accepts it (“you”, “User”) by registering for or using the Agent Ref services.

Services means our website at agent.testdigital.ru, our web and mobile applications, APIs, and related features described on the platform or in communications from us (together, the “Platform”).

1. What Agent Ref provides

Agent Ref is a software platform for participants in real estate and related markets worldwide. Depending on your role and account settings, the Platform may include, without limitation:

• Offers and listings — publishing, browsing, and filtering property offers (including by area, type, developer, and handover timeline).
• Market map — geographic discovery of opportunities.
• Deal pipeline — tracking stages from lead to booking and closing, subject to how you use the tools.
• KYC and verification flows — collecting and processing information and documents you submit for identity or compliance checks, as required by product features or applicable law.
• Team and collaboration — sharing information within your organisation or with counterparties you invite, where the product allows.
• Role-based access — onboarding and tools tailored to roles such as agent, developer, partner, and client/investor.

Features may change, be added, or discontinued. We will use reasonable efforts to avoid material disruption and to communicate significant changes where appropriate.

2. Acceptance and eligibility

By creating an account, accessing the Platform, or continuing to use it after we post updates to this Offer, you accept this Offer and agree to be bound by it and by our Privacy Policy.

You represent that you are at least 18 years old and have authority to bind yourself or the organisation you act for. If you use the Platform on behalf of a company, you warrant that you are authorised to accept these terms for that entity.

3. Accounts and security

• You must provide accurate registration information and keep it up to date.
• You are responsible for safeguarding credentials and for all activity under your account, except where caused by our gross negligence.
• We may suspend or terminate accounts that violate this Offer, pose security risk, or where required by law or payment partners.

4. User content and conduct

You may upload or enter listings, messages, documents (including for KYC), and other content (“User Content”). You retain ownership of your User Content subject to the licence below.

You grant us a worldwide, non-exclusive licence to host, process, display, and transmit User Content as needed to operate, secure, and improve the Platform and to comply with law.

You agree not to:

• Use the Platform for unlawful, fraudulent, or misleading real estate or financial activity;
• Upload malware, scrape the Platform in breach of technical limits, or attempt unauthorised access;
• Infringe third-party intellectual property or privacy rights;
• Circumvent paywalls, quotas, or security controls we apply.

5. Real estate, KYC, and third parties

The Platform is a tool for workflow and information. We do not guarantee the accuracy of listings, pricing, availability, or third-party statements. Transactions, commissions, and regulatory obligations in your jurisdiction or elsewhere remain solely between you and your counterparties unless we explicitly agree otherwise in writing.

KYC and verification features depend on information you provide and on third-party checks where applicable. Passing or failing a check does not constitute our endorsement of any party or deal.

6. Fees

Some features may be free; others may be paid or subject to plans shown in the Platform or agreed in a separate order. Unless stated otherwise, fees, billing cycles, and taxes are as displayed at checkout or in your account. We may change pricing for future periods with reasonable notice.

7. Intellectual property

The Platform, its design, software, and branding are our property or our licensors’. Except for the limited right to use the Platform under this Offer, no rights are granted. You may not copy, reverse engineer, or resell the Platform except as allowed by mandatory law.

8. Privacy

Processing of personal data is described in our Privacy Policy, which forms part of this agreement.

9. Disclaimers

The Platform is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our aggregate liability arising out of this Offer or the Platform in any twelve-month period is limited to the greater of (a) the fees you paid us for the Platform in that period or (b) USD 100, except where liability cannot be limited by applicable law.

11. Term and termination

This agreement runs until terminated. You may stop using the Platform and request account closure via support. We may suspend or terminate access for breach, risk, or legal reasons. Provisions that by nature should survive (e.g. liability limits, governing law) will survive termination.

12. Changes

We may update this Offer. We will post the new version on this page and update the “Last updated” date. Continued use after changes constitutes acceptance, except where we are required to obtain separate consent.

13. Governing law and disputes

This Offer is governed by the laws of the United Arab Emirates, excluding conflict-of-law rules. Courts of Dubai, UAE, shall have exclusive jurisdiction, subject to any mandatory rights you have in your place of residence.
